“A range of matters has been defined for which Armenia’s consent will be mandatory, regardless of its shareholding, even though we will hold 26%. The scope of these matters is quite broad.” Foreign Minister Ararat Mirzoyan made the remarks at a meeting of the Standing Committee on Foreign Relations of the National Assembly of Armenia, presenting the draft law on ratifying the Framework Agreement on Strategic Partnership between Armenia and the United States concerning the Trump Route for International Peace and Prosperity (TRIPP) project.
“For example, any change in control of the company, any sale, divestment, transfer, donation or other disposal of shares. It is clear, isn't it, that a situation cannot arise in which the United States, through the TRIPP Development Company (USA), decides to donate, say, 1% of its 74% stake to an individual or a country without Armenia’s consent... or enters into any major financial contractual transaction, approves concession terms, or establishes subsidiaries or special-purpose entities, not to mention matters of national security and political significance.
“In other words, there is a fairly broad range of matters for which, regardless of the fact that we hold only 26%, or even less, if we have just one vote, Armenia’s vote and consent will be mandatory,” the Minister said.
